INVESTOR PORTAL
Accessing the Investor Portal. Certain areas of the Website, including, without limitation, the Crowd Capital Investor Portal, which is accessible through the Website (the “Investor Portal”), may only be accessed with a valid user ID and password. Each user ID and password is intended to be confidential and used only by the individual or entity to whom it is issued. Please do not disclose your user ID or password to any unauthorized person. You are responsible for maintaining the confidentiality of any user IDs and passwords issued to you with respect to the Investor Portal and shall immediately notify the Company of any actual or suspected unauthorized access to or use of the Investor Portal or your associated user IDs or passwords.

Investor Portal Content. Where you have obtained a valid user ID and password, you may be able access certain materials, documents, information, or other content via the Investor Portal (collectively, “Portal Content”). The written agreements between you and the Company, as well as any terms, conditions, or other provisions set forth in the Portal Content, govern the parties’ rights and obligations with respect to such Portal Content. Without limiting the generality of the foregoing, please note that Portal Content is generally confidential and subject to limitations on use and disclosure. Additionally, except as otherwise expressly set forth in the Portal Content, the Company makes no representations or warranties to you with respect to any Portal Content or with respect to the completeness or accuracy thereof.

Operation of the Investor Portal. Without limiting the foregoing, you acknowledge that the Investor Portal is operated by a third party, Juniper Square, Inc. (“Juniper Square”) on behalf of the Company. The Company makes no representations or warranties, and is not responsible for, the operation, availability and performance of the Investor Portal. By accessing or using the Investor Portal in any manner, you agree to be bound by the Juniper Square Terms of Use and Privacy Policy (the “Juniper Square Terms”). You agree to indemnify and hold harmless the Company from and against any breach by you of the Juniper Square Terms.

Your Obligations. As between you and the Company, you are solely responsible for all actions you take and activities in which you engage on or through the Investor Portal, and for all activity conducted on or through the Investor Portal through means of any user IDs and passwords issued to you with respect to the Investor Portal. Without limiting your other obligations under these Terms, you agree that, in using the Investor Portal, you shall not engage in any activity, or submit or upload any information or materials, that (i) is inaccurate, incomplete, or incorrect, (ii) infringes the intellectual property rights, rights or privacy or publicity, or other proprietary rights of any third party, (iii)  is, or is likely to be considered, defamatory, libelous, hateful, racially, ethnically, religiously, or otherwise biased or offensive, threatening or harassing, vulgar, sexually explicit, pornographic, obscene, invasive of another's privacy, or harmful to minors, or (iv) violates any applicable law, rule, or regulation (including, without limitation, any securities laws). You agree to indemnify and hold harmless the Company from and against any breach by you of the provisions of this Investor Portal section.
